1. Structure: Regulated Limited company. Initial Investors will own shares according to their cash investment. New Investors will buy shares according to the value of the Company at the time of purchase.

2. Purpose: Invest €600,000 in 24,000 sq.m agricultural land with the purpose of

a. Developing it now to increase value

b. Keeping it until it becomes residential (3-5 years) and then divide it into plots and sell them.

3. Expected Return On Investment: The expected value as residential is around €4,000,000 or more than 600% of current value.

4. Advantages:
a. Double profit (property & company appreciation)
b. Better Liquidity for investors
c. Smaller Entry Level (less cash needed)
d. Achieve bigger & better investments with more cash from multiple investors
e. Eliminate multiple expenses (legal, taxes, VAT, commissions, etc that incur during individual transactions by individual investors).
f. Foreign Investors (companies) pay 0% taxes when trading shares.
g. Headache free for Individual investors. Everything is professionally managed and regulated by professionals. Individual investors don’t have to go through extensive research, mortgages, & management hassles.

5. Cash Requirements: Minimum Investment: €30,000 (5%) / Maximum Investment: €120,000 (20%)

6. Loan arrangements: Loans will only be allowed for buying out existing buyers and land development.

7. Investors:
Initial Investors – Bullseye CLSI : 50%
Future Investors – Current clients & new investors : 50%

8. Decision Making: Board made up by Bullseye and professional outside consultants.

9. Reports & Evaluations: Will be prepared on a 6 month basis by professional outside professionals.

10. Management & outside Consultants fees: For managing this investment Bullseye and outside consultants will get €2,000 / month plus 1% of profits as a fee.

 

11. Exit Strategy & Regulations: Investors will be able to exit (sell) according to Company’s regulations. Investors will have to give a 6 months notice when they want to sell their shares back to the Company. Maximum amount of shares sold at each time should not exceed 10%. Time limitations will be:
a. Selling within the first 12 months at a discount of 30%
b. Selling within the first 12-24 months at a discount of 20%
c. Selling within the first 24-36 months at a discount of 10%
d. Selling after the first 36 months at a discount of 5%
e. Investors selling their shares on their own – 0%

 

12. Extending the Syndicate: In the unlikely event that after the 5 years target, the land will still not become residential the shareholders will have to decide on 2 options:

a. Extent the syndicate for more

b. Sell the land and split profits according to shares.
